Welcome, and thank you for your interest in Polymath AI Inc. (“Polymath,” “we,” or “us”) and our website at www.polymathmade.com, along with our related websites, hosted applications, downloadable applications, and other services provided by us (collectively, the “Service”). These Terms of Service, including Polymath AI’s Privacy Policy, (together, these “Terms”) are a legally binding contract between you and Polymath regarding your use of the Service.

BY CLICKING “I ACCEPT,” OR BY DOWNLOADING, INSTALLING, OR OTHERWISE ACCESSING OR USING THE SERVICE, YOU AGREE THAT YOU HAVE READ AND UNDERSTOOD, AND, AS A CONDITION TO YOUR USE OF THE SERVICE, YOU AGREE TO BE BOUND BY, THESE TERMS. IF YOU ARE NOT ELIGIBLE, OR DO NOT AGREE TO THE TERMS, THEN YOU DO NOT HAVE OUR PERMISSION TO USE THE SERVICE.
ARBITRATION NOTICE AND CLASS ACTION WAIVER. Except for specific types of disputes outlined in Section 15, you agree that any dispute arising under these Terms will be resolved through binding individual arbitration. BY AGREEING TO THESE TERMS, BOTH YOU AND POLYMATH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN ANY CLASS OR REPRESENTATIVE ACTION. THIS DOES NOT WAIVE YOUR RIGHT TO SEEK PUBLIC INJUNCTIVE RELIEF, WHICH MAY BE BROUGHT IN COURT AS DESCRIBED IN SECTION 15.
1. Polymath Service Overview.
Polymath is an AI startup on a mission to digitize the industrial world. We build proprietary AI models that accelerate design iteration, convert legacy documentation, and understand manufacturing constraints — letting engineers focus on innovation. Polymath offers two products: Polysync, a deterministic CAD file-conversion tool that does not use generative AI; and Prism, an agentic AI assistant that can query, build, and modify CAD models, including by taking autonomous actions on your model as described in Section 7.4.
2. Eligibility.
You must be at least 18 years old to use the Service. By agreeing to these Terms, you confirm that: (a) you are at least 18 years old; (b) you have not been previously suspended or banned from the Service; and (c) your use of the Service complies with all applicable laws and regulations. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, and you agree that the entity will be bound by them.
For these Terms, “Customer” means the person or entity that agrees to these Terms and is responsible for payment, and “Authorized User” means an individual who accesses the Service under a Customer’s account. If you access or use the Service with, for, or on behalf of an organization, or using data owned or controlled by an organization, you represent and warrant that you are authorized to do so and to bind that organization to these Terms; in that case the organization is the Customer and you are an Authorized User. You are responsible for all activity under your account and for your Authorized Users’ compliance with these Terms. A signed agreement between Polymath and a Customer, if any, governs over these Terms to the extent of any conflict (see Section 16.1).
3. Accounts and Registration.
To use most features of the Service, you must create an account. During registration, you may need to provide personal information such as your name and email address. You agree that all information you provide is accurate, complete, and not misleading, and that you will keep it updated. You are responsible for maintaining the confidentiality of your password and account credentials, and for all activity that occurs under your account. If you suspect that your account has been compromised, please notify us immediately at hello@polymathmade.com.
4. General Payment Terms.
Some features of the Service may be provided for a fee, while others may be free. Before any fees are charged, you will be presented with the applicable pricing and must agree to it. Unless otherwise stated in these Terms, all fees are listed in U.S. Dollars and are non-refundable, except where required by applicable law.
4.1. Pricing. Polymath reserves the right to set and modify pricing for its Service. We strive to keep the pricing information available on the Service up to date. Polymath may revise the pricing, including adding new fees or changing existing charges, by providing advance notice through the Service interface, via email, a popup, or by other reasonable means. A change to the recurring fees for an existing subscription will take effect only upon your next renewal or upon your acceptance, and you may cancel before it takes effect. You are responsible for all applicable taxes, excluding taxes based on Polymath’s net income. We may offer promotional pricing or discounts (e.g., a ‘Developer Discount’ available for Polysync) in exchange for your explicit consent to grant us a license to use your Content for AI model training, as detailed in our Privacy Policy and presented to you at checkout.
4.2. Payment Processing. Payments are facilitated through our third-party payment provider(s). These transactions are governed by our provider's terms and policies. By using the payment features of the Service, you agree to be bound by the applicable agreements of our payment provider(s), as updated from time to time. You also authorize our provider(s) to retain and charge your selected payment method, even after expiration, to ensure continued access to the Service. Polymath is not liable for any payment issues that arise from our provider's services.
4.3. Subscription Services; Automatic Renewal. The Service may offer subscription-based plans with recurring charges (“Subscription Service”). Before you are charged, we will clearly and conspicuously disclose the recurring price, the billing frequency, and the length of the term, and you will affirmatively consent to these automatic-renewal terms. Your “Subscription Billing Date” is the date you first subscribe. The subscription starts on this date and continues for the term you select (“Initial Subscription Period”), automatically renewing for the same duration unless canceled by you or terminated by us. By subscribing, you authorize Polymath (or its payment processor) to charge all applicable fees and taxes on a recurring basis until cancellation. If you begin on a free trial or promotional rate, we will disclose when it ends and the price you will be charged on conversion, and, where required, send you a reminder before the first charge. You may cancel at any time, online and through a mechanism at least as easy to use as the method you used to subscribe, in your account settings or by emailing hello@polymathmade.com; cancellation stops future renewals. After you subscribe, we will send you an acknowledgment that includes the automatic-renewal terms and how to cancel.
4.4. Overdue Payments. Polymath may suspend or terminate your access to the Service, including paid features, if your account has any outstanding balance. In addition to the unpaid amount, you may be liable for any fees related to collection efforts, including chargeback and processing costs.
5. Licenses
5.1. Limited License. Provided that you fully comply with these Terms at all times, Polymath grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Service.
5.2. License Restrictions. Unless permitted under applicable law, you agree not to: (a) reproduce, distribute, publicly display or perform, or create derivative works based on the Service; (b) modify the Service; (c) reverse engineer, decompile, disassemble, or otherwise attempt to access the source code, underlying structure, algorithms, or know-how related to the Service; (d) transmit or store through the Service any malicious code; (e) use automated tools to access, extract, monitor, or collect data from the Service; (f) remove or alter any proprietary notices, trademarks, or labels within the Service; (g) interfere with or attempt to bypass any access controls or security features of the Service; (h) use the Service in any way not explicitly authorized in these Terms; or (i) use the Service, any Output, or any Materials for benchmarking or competitive analysis, or to develop, train, or market any product or service that competes with the Service.
5.3. Feedback. We welcome and value user feedback. If you submit ideas, suggestions, or comments (“Feedback”), you grant Polymath an irrevocable, non-exclusive, perpetual, royalty-free, and fully-paid license to use and exploit such Feedback for any purpose. Polymath is not obligated to attribute or compensate you for the Feedback.
6. Ownership; Proprietary Rights
6.1. Rights to the Service and Materials. Polymath retains full ownership and all rights, title, and interest in and to the Service, including all visual interfaces, graphics, designs, compilations, information, data, computer code, software, products, services, and any modifications or enhancements thereof (collectively, the “Materials”). These Materials are protected by applicable intellectual property laws. You are not permitted to use the Materials unless explicitly authorized.
6.2. Input and Output. You may provide input to the Service (“Input”), and receive output generated and returned by the Service based on the Input (“Output”). Input and Output are collectively “Content”. As between the parties and to the extent permitted by applicable law, you grant us a worldwide, non-exclusive license to host, copy, and use your Input as required in order to provide you with the Service. Subject to this limited license, we do not acquire any right in your Input. Subject to your compliance with these Terms, Polymath hereby assigns to the Customer all its right, title, and interest in and to Output. Where an Authorized User generates Output using a Customer’s account or data, the Output belongs to the Customer, and any allocation of rights between an Authorized User and the Customer is a matter between them. For Prism, Polymath does not use your Content to train or develop AI models (see Section 7.1).
7. Content Rights and Responsibilities
7.1. Polymath’s Right to Use Content. You agree that Polymath may use Content (both Input and Output) to provide and maintain the Service, to debug and secure the Service, to improve the Service using only deidentified or pseudonymized data, and to retain limited Content and diagnostic logs for the periods described in the Privacy Policy. For Prism, Polymath does not use your Content to train or develop generative AI models under any circumstances. The opt-in training option (the Developer Discount) is offered only for Polysync, and only deidentified, aggregated data is used.
7.2. Your Responsibility for Content. You are solely responsible for your Content, including ensuring that it does not violate any applicable law, these Terms, or any third-party rights. You represent and warrant that you own or have all necessary rights and permissions to provide the Input and use the Output, and that you are authorized to submit any Content you provide on behalf of an organization. You agree that you will not provide any Input or use any Output that: (a) is unlawful, defamatory, libelous, threatening, pornographic, harassing, hateful, or racially or ethnically offensive; (b) contains any export controlled technical data under ITAR or EAR; (c) infringes, violates, or misappropriates any third-party right; (d) promotes illegal activity, relates to illegal gambling, weapons, or arms trafficking; (e) creates a risk to any person’s safety or health, or to public safety or health; or (f) is otherwise malicious, fraudulent, or unethical.
7.3. Similarity of Content. You acknowledge that due to the nature of machine learning, Output may not be unique across users and the Service may generate the same or similar output for Polymath or a third party. Responses generated for other users are not considered your Content.
7.4. Accuracy.
7.4 (a) Conversion (Polysync). Artificial intelligence and machine learning are rapidly evolving. We are constantly working to improve our Service. For CAD format conversion services, accuracy is dependent on the source file’s feature tree and geometry. We do not warrant 100% geometric accuracy. You are strictly responsible for validating the B-Rep (Boundary Representation), dimensions, and tolerances of the Output before utilizing it for any physical manufacturing or production. You must evaluate the accuracy, lawfulness, fitness for a particular purpose, quality, and safety of the Output as appropriate for your use case, including by using human review. POLYMATH SHALL NOT BE RESPONSIBLE OR LIABLE FOR THE OUTPUT OR YOUR RELIANCE ON IT.
7.4 (b) Prism Autonomous Actions. Prism is an agentic tool that can take actions directly on your live CAD model. You acknowledge that Prism may create, modify, overwrite, and delete geometry, and run simulations, automatically and without requesting your confirmation for each action, and that it can change or delete existing work. The available means of recovery are your CAD application’s native undo function and the tool-call log we retain. You are solely responsible for maintaining independent backups of your models before using Prism, for reviewing all changes Prism makes, and for validating any Output before relying on it or using it for manufacturing or production. TO THE MAXIMUM EXTENT PERMITTED BY LAW, POLYMATH IS NOT RESPONSIBLE OR LIABLE FOR ANY LOST, DELETED, OVERWRITTEN, OR CORRUPTED MODELS OR WORK, FOR ANY ERRONEOUS MODIFICATION, OR FOR ANY SIMULATION RESULT OR YOUR RELIANCE ON IT.
8. Third-Party Services.
The Service integrates with and is powered by services from third parties, including infrastructure from Amazon Web Services (AWS) and, for Prism, AI model providers that currently include Google, Anthropic, and OpenAI. By using Prism, you acknowledge, direct, and consent that your prompts and Content may be sent to and processed by these providers, acting as our service providers, to generate responses. Your use of these features is subject to the respective providers’ terms, including the Google APIs Terms of Service, the OpenAI Terms of Use, and the Anthropic Terms of Service. If you use Prism with your own model (bring-your-own-model), your Content is not sent to a third-party model provider for reasoning. We may update the model providers from time to time. We are not responsible for the practices or policies of these providers and you acknowledge that any AI-generated output may not be unique.
9. Communications; Email.
Polymath may contact you with information about our products and services. You can opt out of receiving promotional emails at any time by following the instructions in the email or by contacting us at hello@polymathmade.com.
10. Modification of Terms.
Polymath may update these Terms periodically. Please review them regularly. If we make material changes, including any change to Section 15 (Dispute Resolution) or to pricing, we will provide notice through the Service or by email and, where required, obtain your consent, before the change takes effect. Non-material changes take effect when posted, and we will update the “Last Updated” date. Your continued use of the Service after a change takes effect signifies your acceptance; if you do not agree, you must stop using the Service. A change to the arbitration provision will not apply to any dispute for which a Notice of Dispute was given before the change.
11. Term, Termination, and Modification of the Service
11.1. Term. These Terms take effect when you first accept them or begin using the Service, and will remain in effect until terminated.
11.2. Termination. If you breach any provision of these Terms, your right to use the Service and these Terms will terminate automatically. Polymath may also terminate these Terms, or suspend or close your account, at any time, for any reason or no reason, with or without notice. You may terminate your use at any time by deleting your account.
11.3. Effect of Termination. When these Terms are terminated: (a) your license to use the Service ends immediately; (b) your access to your account will be disabled; (c) you are required to pay any outstanding fees owed to Polymath; (d) sections that, by their nature, should survive termination, such as 5.3, 6, 7, 11.3, 12, 13, 14, 15, and 16, will continue to apply.
11.4. Modification of the Service. Polymath may change or discontinue any part of the Service at any time, permanently or temporarily, with or without notice. Polymath is not liable for any such changes.
12. Indemnity.
To the maximum extent allowed by applicable law, you are responsible for your use of the Service and agree to defend, indemnify, and hold harmless Polymath, its affiliates, and their respective officers, directors, employees, and agents (the “Polymath Entities”) from and against any third-party claims and any related liabilities, damages, losses, or expenses (including reasonable legal fees) that arise from or relate to: (1) your or your Authorized Users’ misuse of the Service; (2) your breach of these Terms or violation of applicable laws, including the authority and export representations in Sections 2 and 7.2; (3) your infringement or violation of any third-party rights; or (4) any dispute between you and a third party. Polymath reserves the right, at its own expense, to assume exclusive control and defense of any matter otherwise subject to indemnification by you.
13. Disclaimers; No Warranties by Polymath
13.1. THE SERVICE, ALONG WITH ALL MATERIALS AND CONTENT MADE AVAILABLE THROUGH THE SERVICE, INCLUDING ANY OUTPUT, IS PROVIDED “AS IS” AND “AS AVAILABLE.” POLYMATH DISCLAIMS ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, AND NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE. POLYMATH MAKES NO GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF VIRUSES.
13.2. NO ORAL OR WRITTEN INFORMATION OR ADVICE OBTAINED FROM POLYMATH OR THROUGH THE SERVICE CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS. YOU AGREE TO USE THE SERVICE ENTIRELY AT YOUR OWN RISK AND DISCRETION. POLYMATH IS NOT RESPONSIBLE FOR ANY DAMAGE TO YOUR DEVICES OR SYSTEMS OR LOSS OF DATA.
13.3. THE DISCLAIMERS IN THIS SECTION APPLY TO THE MAXIMUM EXTENT ALLOWED BY LAW.
14. Limitation of Liability
14.1. TO THE MAXIMUM EXTENT PERMITTED BY LAW, POLYMATH AND ITS AFFILIATES WILL NOT BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING DAMAGES FOR LOST PROFITS, LOST GOODWILL, OR LOSS OF DATA) RESULTING FROM OR RELATED TO YOUR ACCESS TO OR USE OF — OR INABILITY TO ACCESS OR USE — THE SERVICE OR ANY CONTENT OR MATERIALS, INCLUDING OUTPUT. THIS APPLIES REGARDLESS OF THE LEGAL BASIS OF THE CLAIM, EVEN IF POLYMATH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE FOREGOING EXCLUSIONS DO NOT APPLY TO LIABILITY THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW, INCLUDING LIABILITY FOR FRAUD, WILLFUL MISCONDUCT, OR GROSS NEGLIGENCE, OR TO YOUR INDEMNIFICATION OBLIGATIONS.
14.2. TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL CUMULATIVE LIABILITY OF POLYMATH AND ITS AFFILIATES FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (a) THE AMOUNT YOU PAID TO POLYMATH FOR THE SERVICE IN THE SIX (6) MONTHS IMMEDIATELY PRIOR TO THE EVENT GIVING RISE TO THE CLAIM; OR (b) ONE HUNDRED U.S. DOLLARS (USD $100). THIS CAP DOES NOT APPLY TO (i) LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, INCLUDING UNDER CALIFORNIA CIVIL CODE SECTION 1668; (ii) YOUR PAYMENT OR INDEMNIFICATION OBLIGATIONS; OR (iii) LIABILITY FOR FRAUD, WILLFUL MISCONDUCT, OR GROSS NEGLIGENCE.
14.3. EACH OF THE LIMITATIONS IN THIS SECTION 14 REPRESENTS A RISK ALLOCATION AGREED TO BY THE PARTIES AND IS A FUNDAMENTAL PART OF THE AGREEMENT.
15. Dispute Resolution By Binding Arbitration
PLEASE READ THIS SECTION CAREFULLY AS IT AFFECTS YOUR RIGHTS.
15.1. Agreement to Arbitrate. You agree that any disputes or claims arising out of or relating to these Terms, the Service, or your relationship with Polymath will be resolved solely through final and binding arbitration, rather than in court, except where you may bring individual claims in small claims court if eligible, and except for claims for public injunctive relief as described in Section 15.2. This Arbitration Agreement is governed by the Federal Arbitration Act.
15.2. Prohibition of Class and Representative Actions. YOU AND POLYMATH AGREE THAT CLAIMS MAY ONLY BE BROUGHT ON AN INDIVIDUAL BASIS, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OR PRESIDE OVER ANY FORM OF A CLASS OR REPRESENTATIVE ACTION. Notwithstanding the foregoing, nothing in these Terms waives your right to seek public injunctive relief; any such claim may be brought in a court of competent jurisdiction and will be stayed pending arbitration of any individual claims.
15.3. Pre-Arbitration Dispute Resolution. Most user concerns can be addressed by emailing customer support at hello@polymathmade.com. If resolution isn’t reached, you must first send a certified written Notice of Dispute to Polymath. If no agreement is reached within 60 days of receipt of the Notice, either party may begin arbitration.
15.4. Arbitration Procedures. Arbitration will be administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules and, where applicable to coordinated or mass filings, its Mass Arbitration Supplementary Rules, as modified by this Agreement. If 25 or more similar demands are submitted by or with the assistance of the same counsel, the parties will cooperate in a bellwether and batching process to resolve the demands efficiently. The arbitrator has authority over all issues. The arbitrator’s decision will be binding and may be enforced in court.
15.5. Costs of Arbitration. Arbitration fees will follow AAA’s rules.
15.6. Confidentiality. All arbitration proceedings are strictly confidential.
15.7. Severability. If any provision of this Arbitration Agreement is found unenforceable, that provision will be severed and the remainder will continue in effect, except that if the prohibition on class or representative arbitration is found unenforceable as to a particular claim, that claim will be severed and adjudicated in a court of competent jurisdiction while all other claims are arbitrated. The right to seek public injunctive relief in court under Section 15.2 is severable and does not affect the enforceability of the remainder of this Agreement.
16. Miscellaneous
16.1. General Terms. These Terms, together with Polymath’s Privacy Policy, represent the complete agreement between you and Polymath regarding your use of the Service. You may not assign or transfer these Terms without prior written consent from Polymath. We may assign these Terms without notice. Order of precedence: if a Customer and Polymath have entered into a signed master subscription or services agreement or a data processing addendum, that agreement governs over these Terms to the extent of any conflict.
16.2. Governing Law. These Terms are governed by the laws of the State of California, without regard to its conflict of law rules. Any disputes not subject to arbitration will be resolved in the state and federal courts located in San Francisco County, California.
16.3. Privacy Policy. Please review the Polymath Privacy Policy to understand how we collect, use, and handle your personal information.
16.4. Consent to Electronic Communications. By using the Service, you agree to receive communications from us electronically, as outlined in our Privacy Policy.

16.6. Notice to California Residents. Under California Civil Code Section 1789.3, California residents may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs by mail at 1625 N. Market Blvd., Suite S-202, Sacramento, CA 95834, or by phone at +1-800-952-5210.
16.7. International Use. The Service is offered from the United States and is available to users in other countries. If you use the Service from outside the United States, your information will be processed in the United States as described in the Privacy Policy, which sets out the applicable cross-border transfer safeguards. Business customers are subject to our Data Processing Addendum.
16.8. Data Processing Addendum. Where Polymath processes personal data on behalf of a Customer as a processor, Polymath’s Data Processing Addendum, which incorporates the applicable cross-border transfer mechanisms (such as the Standard Contractual Clauses) and includes notice of, and a right to object to, new sub-processors, applies and is incorporated by reference; a copy is available on request.
16.9. AI Disclosure. Prism is an artificial-intelligence system; we disclose when you are interacting with AI, consistent with applicable law.
